ClearMyTracks Terms of Service
Last modified: September 21, 2026
These Terms of Service ("Terms") are an agreement between you and Moon Village LLC, a Wyoming limited liability company ("Moon Village," "we," "us"). They govern your use of ClearMyTracks, including the application, the website at clearmytracks.com, and related services (together, the "Service").
If you accept these Terms for a company or other organization, you confirm that you have authority to bind it, and "you" means that organization.
Section 16 requires most disputes to be resolved by individual arbitration, not in court or in a class action. Please read it.
1. Accepting these Terms
By creating an account, starting a trial, or using the Service, you agree to these Terms and to our Privacy Policy at clearmytracks.com/privacy-policy. If you do not agree, do not use the Service.
2. Who can use the Service
The Service is for business and professional use, such as music supervision and clearance work. By using it, you confirm that:
- you are at least 18 years old;
- you are using the Service for business purposes and not as a consumer; and
- you are not barred from using it under the laws of the United States or any other country that applies to you.
3. Accounts and workspaces
3.1 Your account. Give us accurate information and keep it current. Keep your sign-in details secure. You are responsible for everything that happens under your account. Tell us promptly at support@clearmytracks.com if you think someone has accessed it without permission.
3.2 Workspaces. Customer Data lives in a workspace. The person who creates a workspace is its first admin. Admins can invite and remove members, change their roles, and manage billing. The organization that owns the workspace controls it and the Customer Data in it, even if an individual member created or entered that data.
3.3 Seats. Each seat is for one named person. Seats cannot be shared between people.
4. Free trial
New workspaces can try the Service free for 14 days. You need to add a payment method to start a trial. Unless you cancel before the trial ends, your subscription starts automatically and you will be charged for the plan you selected when the trial ends. We will remind you by email before the trial ends. We may change or end trial offers at any time, and each organization may use one trial.
5. Plans, billing and cancellation
5.1 Plans. The plans, prices, and what each includes are shown at clearmytracks.com/pricing when you buy.
5.2 Our reseller. Our order process is run by our online reseller, Paddle.com ("Paddle"). Paddle is the merchant of record for all orders. Paddle handles payment, invoicing, sales tax, and billing enquiries, and its Buyer Terms apply to your purchase.
5.3 Subscriptions renew automatically. Monthly and annual plans renew automatically at the end of each billing period, for the same length of time, at the then-current price, until you cancel. You authorize Paddle to charge your payment method at each renewal.
5.4 Cancelling. You can cancel at any time in the Service or through Paddle. Cancellation takes effect at the end of your current billing period. You keep access until then, and you will not be charged again.
5.5 Refunds. If you are not satisfied for any reason, you can request a full refund within 30 days of your first payment or of a charge for added seats, and within 14 days of a renewal. Refunds are handled by Paddle: request one at paddle.net or through the link in your Paddle receipt. After a refund of a plan payment, your workspace becomes read-only immediately, as described in section 6. A refund of a charge for added seats removes those seats.
5.6 Added seats. If you add seats during a billing period, you will be charged a prorated amount for the rest of that period.
5.7 Price changes. We may change our prices. For subscriptions, a new price applies from your next renewal, and we will tell you at least 30 days before it does.
5.8 Taxes. Prices do not include taxes. Paddle collects any taxes that apply.
5.9 Failed payments. If a payment fails, we or Paddle may retry it. We may limit your workspace to read-only access until the payment succeeds.
6. When a plan ends
If your plan ends or lapses, your workspace becomes read-only. You can view your data and use the features we make available to read-only workspaces, but you cannot add or change data or send email. We may later remove the workspace and delete its Customer Data. If we do, we will email the workspace's admins at least 90 days beforehand. We are not obligated to keep Customer Data after that, or to provide it in any particular format.
7. Your data
7.1 You own it. "Customer Data" means everything you and your team put into the Service, including songs, projects, placements, quotes, rights holder and contact details, notes, files, and email you send or receive through the Service. As between you and Moon Village, you own your Customer Data.
7.2 Our permission to use it. You grant Moon Village a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service, and as described in our Privacy Policy. We will not use Customer Data to contact anyone except as you direct.
7.3 Your responsibilities. You are responsible for your Customer Data, including its accuracy and legality. In particular, you confirm that:
- you have the right to store and use the personal information of the rights holders and other people you add to the Service, and you have given any notices and obtained any consents the law requires; and
- you will not upload sensitive information the Service is not designed to hold, such as government ID numbers, bank or card numbers, or health information.
7.4 Rights information is yours to verify. The Service records the rights, splits, quotes, and approvals you enter. It does not research, confirm, or guarantee who owns or controls any music, or whether any use is cleared. Clearance decisions, and the licenses you enter into, are yours and your client's.
8. Email features
8.1 We are not an email service provider. ClearMyTracks does not send email from its own servers or on its own behalf. When you connect a Gmail account, messages are sent from your Gmail account, in your name, through Google. Google's terms apply to your Gmail account.
8.2 You are the sender. Every message sent through the Service is your message. You are responsible for its content, its recipients, and complying with the laws that apply to it, including anti-spam laws. The email features are for individual, one-to-one business correspondence about clearance. You may not use them to send bulk, marketing, or unsolicited commercial email.
8.3 Sending, scheduling and automatic follow-ups. You choose when a message goes out. You can send it yourself, schedule it for later, or turn on automatic follow-ups. Follow-ups are messages you write and schedule yourself; they go out over the days you choose and stop when the recipient replies on the thread. By turning them on, you authorize each message you have written. You can see what is scheduled, edit it, and cancel any message or the whole series before it sends. We will not send anything you have not written and set up this way.
8.4 Open tracking. Messages sent through the Service include a tracking image that tells you whether and when a message was opened. You are responsible for any notice to recipients the law requires.
8.5 Disconnecting. You can disconnect Gmail at any time. After you do, you cannot send email through the Service until you reconnect.
9. AI features
9.1 What they do. The Service can use artificial intelligence ("AI") to draft emails for you to review, edit and send.
9.2 Check the output. AI output may be inaccurate, incomplete, or unsuitable. Review it before you rely on it or send it. AI output is never sent to anyone, and never changes your data, unless you approve it.
9.3 Not advice. AI features do not give legal, financial, or licensing advice, and do not tell you what to pay.
9.4 Your content. As between you and us, you own the AI output generated for you, subject to the rights of others in any content it contains. We do not use Customer Data to train generalized AI models.
10. Third-party services
The Service works with services we do not control, including Google (Gmail), Apple (song search and 30-second previews), and Paddle (payments). Your use of those services is governed by their terms. We are not responsible for them, and a feature may stop working if a provider changes or withdraws its service. Previews are for evaluating songs inside the Service only. You may not download, copy, or redistribute them.
11. Acceptable use
You will not, and will not let anyone else:
- use the Service in violation of any law, or to infringe anyone's rights;
- send spam, bulk email, or deceptive messages through the Service;
- upload malware or anything that could harm the Service or other users;
- try to access another customer's data, or any part of the Service you are not authorized to use;
- probe, scan, or test the Service's security without our written permission;
- copy, modify, reverse engineer, or build a competing product from the Service;
- scrape the Service, or access it by automated means except through tools we provide;
- resell, sublicense, or share access to the Service outside your workspace; or
- use the Service to harass, threaten, or harm anyone.
12. Our intellectual property
Moon Village owns the Service, including its software, design, and the ClearMyTracks name and marks. Subject to these Terms and your payment of fees, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your plan. If you send us feedback or suggestions, we may use them without any obligation to you.
13. Suspension and termination
13.1 By you. You may stop using the Service and cancel your plan at any time, as described in section 5.
13.2 By us. We may suspend or end your access if you break these Terms, fail to pay, create a security or legal risk, or if we are required to by law. Where reasonable, we will give you notice first and a chance to fix the problem. We may also discontinue the Service by giving you at least 30 days' notice. If we do, we will refund any prepaid fees covering the period after the Service ends.
13.3 What survives. Sections 5.5, 7, 12, and 14 through 18 survive after these Terms end.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, MOON VILLAGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY DATA OR AI OUTPUT WILL BE ACCURATE, OR THAT ANY EMAIL WILL BE DELIVERED OR ANSWERED. WE DO NOT WARRANT THAT ANY MUSIC IS CLEARED, OR THAT ANY RIGHTS INFORMATION IS CORRECT.
15. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- MOON VILLAGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, INCLUDING ANY LOSS FROM A LICENSE, FEE, OR PLACEMENT; AND
- MOON VILLAGE'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply whatever the legal theory, even if we were told the damage was possible.
16. Disputes and arbitration
16.1 Talk to us first. Before starting any claim, send a written description of the dispute to legal@clearmytracks.com. We will try in good faith to resolve it with you for 30 days.
16.2 Binding arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is Sheridan County, Wyoming. Hearings may be held by video or phone. Judgment on the award may be entered in any court with jurisdiction.
16.3 Individual claims only. You and Moon Village each bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or award relief to anyone other than the individual party. If this paragraph is found unenforceable for a claim, that claim must be heard in court, not in arbitration.
16.4 Exceptions. Either party may bring an individual claim in small-claims court. Either party may also go to court to stop infringement or misuse of its intellectual property, or unauthorized access to the Service.
16.5 Jury waiver. For any claim heard in court, you and Moon Village each waive the right to a jury trial.
16.6 Courts. Any court proceeding allowed under this section will be brought in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction.
16.7 Time limit. Any claim must be brought within one year after it arises, unless the law requires a longer period.
17. Governing law
These Terms are governed by the laws of the State of Wyoming and applicable federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules.
18. Indemnity
You will defend and indemnify Moon Village and its members, managers, and contractors against any third-party claim arising from your Customer Data, the email you send through the Service, or your breach of these Terms or the law. You will also cover any resulting losses, damages, and reasonable legal fees.
19. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or in the Service at least 14 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms. If you do not agree, cancel before the change takes effect.
20. General
- Entire agreement. These Terms, the Privacy Policy, and any order terms make up the whole agreement between you and Moon Village about the Service.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- Severability. If any part of these Terms is unenforceable, the rest stays in effect.
- No waiver. Not enforcing a term is not a waiver of it.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Notices. We may send notices to the email address on your account. Send notices to us at legal@clearmytracks.com or to the address below.
- Relationship. The parties are independent contractors.
